Advantages of the SAS

  • Limited liability: Shareholders are liable only up to the amount of their contributions
  • Minimum shareholders: Can be incorporated with just 1 person
  • No term limit: Unlike other corporate types
  • Administrative flexibility: Does not require a statutory auditor in all cases

Steps to Incorporate a SAS

1. Draft the incorporation deed

It must include:

  • Name, ID, and address of shareholders
  • Company name followed by "S.A.S."
  • Principal place of business
  • Term of duration
  • Corporate purpose

2. Authenticate the document

Before a notary public or through a private document.

3. Register with the Chamber of Commerce

  • RUES form
  • Commercial registration form
  • Payment of registration tax

4. Obtain NIT from DIAN

  • Single Tax Registry (RUT)
  • Electronic invoicing
